契約條款的性質

一、 契約基本條款

基本的交易條件有六，

• •      品質條件、
• •      數量條件、
• •      價格條件、
• •      包裝條件、
• •      交貨條件與
• •      付款條件；

此六項條件為有效報價的基本條件，亦為買賣契約的基本條款。

二、 契約一般條款

1. 檢驗條款：Special inspection shall be born by the buyer.

2.  佣金條款：The prices above are net, without any commission or rebate.

3. 運費及保險費變動條款：

        Any increase in freight rate and insurance premium rate at the time of shipment shall be for the buyer’s risk and account.

4. 索賠條款：包括

        a. 提出索賠的期限，

        b. 通知方式，

        c. 檢附証明文件，

        d. 處理方法。

Claims shall be submitted in writing, within fourteen days after arrival of goods at destination.  Reports shall be sent by airmail.

5. 不可抗力條款  Force Majeure

• •    Non-delivery of merchandise shall operate as a cancellation of the sales to the extent of such non-delivery.

        a. 屬於不可抗力的原因或種類

        b. 不可抗力賣方得取消契約或延遲交貨

        c. 因不可抗力所致不交貨或延遲交貨，賣方不負責任

        d. 買賣雙方處理善後的方法

6. 仲裁條款 Arbitration

• •    Any disputes of the contract may be referred to be arbitration and shall take place in Taipei, Taiwan, ROC.

7. 適用法律條款

• •    This contract is being executed in the city and state of New York and the law of the State of New York.

8. 保險條款：買賣雙方應訂明保險條款，由誰負責買保險，保險的額度與保險的種類等。
